JAKARTA (ISL News) – PT Pelabuhan Indonesia (Persero) or Pelindo officially announced the merger of PT Pelindo Property Indonesia (PPI) into PT Menara Maritim Indonesia (MMI) which will be effective starting October 1, 2026. In this corporate action, MMI acts as the surviving entity.
This strategic move is part of the streamlining agenda of state-owned enterprise subsidiaries under the coordination of Danantara Asset Management (DAM) and Pelindo. The consolidation aims to simplify the corporate structure, optimize portfolio governance, and sustainably strengthen operational capabilities and business competitiveness within the Pelindo Group.
Through this merger, all resources, asset management, and integration of PPI's competencies and business activities were fully consolidated into MMI. All stages of the transition were implemented in a disciplined manner, upholding the principles of Good Corporate Governance (GCG) to ensure transparency, accountability, and certainty for all stakeholders.
As the majority shareholder of PT Menara Maritim Indonesia (MMI), President Director of PT Pelindo Sinergi Lokaseva, Faruq Hidayat, emphasized that this merger is not merely a corporate administrative restructuring, but an important pillar in strengthening the business foundation and creating added value for the PSL and Pelindo Group ecosystem.
"This merger is part of a measured portfolio restructuring initiative aligned with shareholder direction and Danantara's integration framework. Our primary focus going forward is to oversee the integration process to ensure it runs seamlessly . We are building more than just a more efficient entity structure, but an agile , competitive organization capable of optimizing every potential asset and market opportunity to make a concrete contribution to PSL and the Pelindo Group as a whole," Faruq said.
From the operational side of the entity, Acting President Director of PT Menara Maritim Indonesia, Rudy Istiawan, said that the merger of PPI's competencies into MMI serves as an accelerator to expand the company's service reach and business capacity.
"This consolidation provides MMI with additional resources and strategic competencies. We are committed to implementing this operational integration in a disciplined and measured manner, while maintaining service level agreements (SLAs) and the highest quality of service for all MMI customers and business partners," explained Rudy.
Supporting the smooth transition, PT Menara Maritim Indonesia Commissioner, Heru Satrio, ensured that the Board of Commissioners' supervisory function would run optimally throughout the post-merger process.
"The Board of Commissioners is closely monitoring the entire integration process to ensure it remains within the legal framework and good corporate governance (GCG), enabling Pelindo Group to realize its potential market leadership and strategic benefits," Heru said.
Through this merger, MMI is ready to transform into a solid platform for consolidating competencies and assets, while simultaneously supporting the efficiency agenda and sustainable portfolio management of Pelindo Group.
